Terms of Service

1. Acceptance of Terms

By creating an account or using the Adyft platform (available at app.adyft.com), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use Adyft.

These Terms constitute a legally binding agreement between you ("User", "you") and Adyft Technologies Pvt. Ltd., a company incorporated in India ("Adyft", "we", "us").

2. The Service

Adyft is a self-serve advertising platform that enables businesses to create, launch, and manage advertising campaigns on Meta (Facebook and Instagram) and Google Ads. Adyft acts as a campaign management tool — all ads run through your own Meta and Google Ads accounts, which you connect via OAuth.

Adyft does not own or operate any advertising inventory. Your advertising spend goes directly to Meta and Google, not to Adyft.

3. Free Trial

Adyft offers a 14-day free trial for new accounts. No credit card is required to start a trial. After 14 days, you must subscribe to a paid plan to continue using the platform. Campaign data and settings created during the trial are retained if you upgrade.

4. Subscriptions and Billing

• Plans: Adyft offers monthly and annual subscription plans. Pricing is shown in your local currency on the Adyft website and varies by region.
• Auto-renewal: Subscriptions automatically renew at the end of each billing period (monthly or annual) unless cancelled before the renewal date.
• Payment: Payments are processed by Razorpay (India) or Polar (international, our Merchant of Record). By subscribing, you authorise us to charge your payment method on each renewal date.
• Price changes: We will notify you by email at least 30 days before any price increase. Continued use after the effective date constitutes acceptance.
• Failed payments: If a payment fails, your account may be suspended until payment is resolved. You will be notified by email.

5. Cancellation and Refunds

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period — you retain access until then.

Refunds: We do not provide pro-rata refunds for unused portions of a billing period. Exceptions may be made at our discretion for technical failures on our side. For refund requests, contact [email protected] within 7 days of the charge.

6. Acceptable Use

You agree not to use Adyft to:

• Create or publish ads that violate Meta's Advertising Standards or Google's Advertising Policies.
• Promote illegal products or services, including but not limited to illegal drugs, weapons, counterfeit goods, or unauthorised financial services.
• Engage in deceptive, misleading, or fraudulent advertising.
• Harass, discriminate against, or target individuals based on protected characteristics.
• Attempt to reverse-engineer, scrape, or resell Adyft's technology or data.
• Use Adyft to manage advertising for businesses you do not own or are not authorised to represent (except on Agency plan with client authorisation).

Violation of these terms may result in immediate account suspension without refund.

7. Your Ad Accounts and Data

You retain full ownership of your Meta and Google Ads accounts at all times. Adyft accesses these accounts solely to execute actions you initiate within the platform. If you disconnect your ad accounts or cancel your subscription, your campaigns remain in your Meta/Google accounts under your control.

You are responsible for ensuring your use of Adyft complies with Meta's and Google's terms of service and advertising policies. Adyft is not liable for ad account suspensions by Meta or Google.

8. Intellectual Property

Adyft and its technology, design, and content are owned by Adyft Technologies Pvt. Ltd. and protected by intellectual property laws. You may not copy, reproduce, or distribute any part of the platform without written permission.

Ad copy and creatives generated by Adyft AI using your business inputs are owned by you. You grant Adyft a limited licence to use this content to provide the service.

9. Disclaimer of Warranties

Adyft is provided "as is" and "as available". We do not guarantee that the platform will be uninterrupted or error-free. We do not guarantee specific advertising results, lead volumes, or return on ad spend. Campaign performance depends on many factors outside our control, including your ad budget, market competition, and audience behaviour.

10. Limitation of Liability

To the maximum extent permitted by law, Adyft's total liability to you for any claim arising from your use of the platform shall not exceed the subscription fees you paid to Adyft in the 3 months preceding the claim.

Adyft is not liable for indirect, incidental, consequential, or punitive damages, including lost profits, lost business, or loss of data.

11. Account Termination

We reserve the right to suspend or terminate your account at any time if you violate these Terms, engage in fraudulent activity, or fail to pay outstanding subscription fees. We will make reasonable efforts to notify you before termination except in cases of severe policy violations.

12. Changes to Terms

We may update these Terms from time to time. We will notify registered users by email at least 14 days before material changes take effect. Continued use of Adyft after the effective date constitutes acceptance of the updated Terms.

13. Governing Law and Disputes

These Terms are governed by the laws of India. Any disputes arising from these Terms or your use of Adyft shall be subject to the exclusive jurisdiction of the courts of Bangalore, Karnataka, India.
